Nordic Trustee has acted as escrow agent for the first de-SPAC transaction in Sweden

tbd30 AB is one of the first Special Purpose Acquisition Companies (SPAC) created in Sweden. Its shares started to trade on Nasdaq Stockholm in June 2021 and purpose of the SPAC was to complete a business combination of a non-listed entity in the Nordics with operations in business services within 30 months. In March 2022, tbd30 AB announced it had entered into an agreement to acquire Spolargruppen AB from Capillar Equity Fund and the transaction closed on 28 April. As escrow agent, Nordic Trustee played the role as an independent agent for the SPAC investors, including monitoring and approving the release of the issue proceeds in the blocked account for the purpose of financing the acquisition.
